Terms
Last updated: [DATE]
These terms apply to the website at [DOMAIN], the Duetra waitlist and the Duetra desktop app during early access. They're an agreement between you and [LEGAL NAME / BUSINESS NAME], [ABN, if any]("Duetra", "we"). By using the website, joining the waitlist or installing the app, you agree to them.
The waitlist
Joining the waitlist is free and creates no obligation on either side. It doesn't guarantee access to the app, a release date, a price or any feature. We choose who to invite and when. You can leave at any time by emailing [CONTACT EMAIL].
Early access
Early-access builds of Duetra are unfinished. They're for Windows, may contain bugs, may change or remove features, and may stop working. Features labelled experimental, including the neural Improviser and other optional engines, may need extra software or hardware and may not work on your computer. Keep your own copies of anything you care about.
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the early-access app on computers you own or control, for your own music-making. You may not sell, rent or redistribute it, remove its notices, or reverse engineer it except where the law allows you to. Early access is [FREE / PRICE AND BILLING TERMS].
Your music is yours
You own what you play and create with Duetra, including anything the app plays back in response to you, to the extent the law allows. We don't claim any rights in it, and it stays on your computer (see our privacy policy).
If you send us feedback or ideas, you let us use them to improve Duetra without owing you anything. We'll never publish anything you've made without your permission.
Third-party software and content
Duetra can host VST3 plugins, load sample libraries and run optional model files that other companies make. Those are governed by their own licences, and you're responsible for having the right to use them. Duetra includes open-source components under their own licences, listed in the app.
Using the website fairly
Don't misuse the website or waitlist: no automated sign-ups, scraping, attempts to break or overload the service, or signing up other people without their permission.
Our name and design
The Duetra name, mark, sculpture, website and app design belong to us or our licensors. These terms don't give you any right to use them beyond using the app and site as intended.
Consumer guarantees
Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or other laws that can't be excluded. Where we're allowed to limit our liability for a failure to meet a consumer guarantee, it's limited to supplying the service again or paying the cost of having it supplied again.
Limits on our responsibility
Subject to the section above, the website and early-access app are provided as they are and as available. To the extent the law allows, we aren't liable for indirect or consequential loss, or for loss of data, profits or work, arising from your use of them. Our total liability to you is limited to [AMOUNT, e.g. the greater of AUD 100 or what you paid us in the past 12 months].
Ending things
You can stop using Duetra at any time and uninstall the app. We may end early access, or your access, at any time. If it's not because you broke these terms, we'll try to give you reasonable notice.
Changes to these terms
We may update these terms as Duetra grows. We'll change the date above and, for significant changes, tell people on the waitlist or using the app. Continuing to use Duetra after that means you accept the new terms.
Law and contact
These terms are governed by the laws of [STATE, e.g. Victoria], Australia, and the courts there have jurisdiction. Questions: [CONTACT EMAIL].
